Nalepa Labs LLC (referred to as "Nalepa Labs," "Company," "us," or "we") provides access to Company's website (the "Site"), products and services available through this Site (collectively, "Nalepa Labs Products"), and any related products, services, features, technologies, websites, documentation, and any updates related to any of the foregoing (collectively, the "Platform"). Open Mind Ledger is a Nalepa Labs Product and is part of the Open Mind series of products.
The Platform is made available to you according to the following terms and conditions ("Terms of Service"). In using the Platform, you hereby agree to be bound by these Terms of Service.
Nalepa Labs reserves the right and may, from time-to-time, make changes to the Platform or to these Terms of Service. Any changes or modifications to the Terms of Service will be effective upon upload to the Site. You acknowledge that it is your sole responsibility to periodically review these Terms of Service to remain apprised of any changes, revisions, or updates. Your ongoing and continued use of the Platform, following any revision, change, modification, or update to these Terms of Service, constitutes your acceptance of the modified Terms of Service. If you are an individual acting on your company's or client's behalf, you are accepting these provisions on their behalf and the term "you" will refer to you, your company, or your client.
You acknowledge that this Platform is the property of Nalepa Labs and its licensors. All text, graphics, user interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content contained on the Platform is owned, controlled or licensed by or to Nalepa Labs and is protected by applicable U.S. and foreign copyright, patent, and trademark laws, including various other intellectual property rights and unfair competition laws. Certain other words and symbols used to identify the source of third-party goods and services are trademarks of their respective owners. Display of any such trademarks or service marks on the Platform does not imply that a license of any kind has been granted.
Except as expressly provided in these Terms of Service, no part of the Platform or its Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without Nalepa Labs's prior written consent. Any unauthorized use, downloading, re-transmission, display, distribution or other copying, or modification of any copyrightable matter in the above and/or the Content on the Platform is strictly prohibited, and may result in legal action against those engaging in such activities.
Except as set forth in this section, you may access and use the Platform for your own internal, lawful and non-commercial purposes only.
This Platform contains information about Nalepa Labs and Nalepa Labs Products. You may download, view, copy, and print information and related agreements or documents from the Platform for your personal use and retention. You may also copy, print, and view such materials provided that no material alterations or modifications are made either to the materials or to any proprietary notices. You agree not to reproduce, transmit, disseminate, broadcast, circulate, republish, duplicate, sell, modify, upload, post, or otherwise distribute or commercially exploit the Platform, or any portion of the content of the Platform, in any way without Nalepa Labs's prior written consent.
Nalepa Labs reserves the right to determine your eligibility for any or all of the Platform and, as such you may not be eligible for any or all of the Platform.
You may use information related to the Platform made available in connection with downloading from the Platform, provided that you: (a) do not remove any proprietary notice language in such documents; (b) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any medium; (c) make no modifications to such information; and (d) do not make any additional representations or warranties to any party in connection with your use of such documents.
The Platform, or components thereof, may only be offered in certain jurisdictions where they may be legally offered for sale or designated by Nalepa Labs in its sole discretion. The Platform is not intended for distribution to, or use by, any person in any jurisdiction or country where such distribution or use would be restricted, prohibited, or otherwise contrary to law or regulation.
Certain products or services offered through the Platform may require you to open an account (including setting up a username and password). You are solely responsible for maintaining confidentiality of your account information, including your password, for any and all activity related to your account. You further agree to establish commercially reasonable security procedures and controls to protect your confidential information. You agree to notify Nalepa Labs immediately of any unauthorized use, or any other breach of security, including suspected or actual account "phishing" incidents. You understand that you may be held liable for losses incurred by Nalepa Labs or any other user of or visitor to the Platform due to an unauthorized party using your login information, password or account. You agree not to use anyone else's name, password, or account to access the Platform at any time without the express permission and consent of such party. You acknowledge that Nalepa Labs is not liable for any loss or damage arising from your failure to comply with these obligations. Please do not send or otherwise transmit confidential information to us over the Internet, or request that we transmit confidential information to you. Nalepa Labs will not be responsible or in any way liable for any losses or damages you may incur as the result of such communication that may occur over the Internet.
You understand and acknowledge that you are solely responsible for any actions you take in connection with your use of the Platform, and any data, images, material, or information of any kind ("Data") you input, upload, transmit, write, submit, receive, store, or share through the Platform. You have no obligation to provide any Data to the Platform, and you're free to choose the Data that you want to provide. You acknowledge certain functionality in the Platform may be dependent on the provision of Data and may not be available without such Data.
Your Data remains yours, which means that you retain any intellectual property rights that you have in your Data. By sharing your Data on the Platform, you hereby grant Nalepa Labs a license to use your Data, as follows:
A worldwide, perpetual, non-exclusive, royalty-free license to host, reproduce, distribute, communicate, sublicense and use your Data; publish or publicly display your Data, if you've made it visible to others; and modify and create derivative works based on your Data, such as reformatting or translating it for the purpose of operating, providing, and improving the Platform.
Nalepa Labs may collect, derive or generate deidentified and/or aggregated data regarding your usage of or the performance of the Platform, including data derived from your Data. Nalepa Labs will own all such data and may use this data without restriction, including, but not limited to, operating, analyzing, improving, or marketing Nalepa Labs's products and services, including the Platform.
You may not link to this Platform without the permission of Nalepa Labs. You agree not to input, upload, transmit, write, submit, receive, store, or share or via the Platform any Data that: (a) infringes upon, or violates any copyright, patent, trademark, trade secret or other proprietary right; (b) is defamatory, libelous, or threatening; (c) is known by you to be false or inaccurate; or (d) violates any applicable law, treaty, or regulation. You agree you will not input, upload, transmit, write, submit, receive, store, or share to the Platform any Data containing any virus, worm, or other harmful feature. You agree not to interfere, in any way, with others' use of the Platform and you will not attempt to gain unauthorized access to the account, computer system, or Data of another user.
In addition to the above, you are prohibited from: (a) engaging in any act where you know, or have reason to know, that such act may disrupt the Platform's functionality; (b) translating, decompiling, reverse engineering, or otherwise attempting to obtain access to source code of any software located on the Platform; or (c) using the Platform in any way that violates local, state, federal, or international law. Without limiting the foregoing, certain components of the Platform may be subject to export controls imposed by the U.S. and may not be downloaded or otherwise exported or re-exported into (or otherwise shared or sent to any national or resident of) a country subject to U.S. embargo; (b) to any person listed on the Office of Foreign Assets Control ("OFAC") Specially Designated Nationals ("SDN") list; (c) the U.S. Commerce Department's Table of Denial Orders; or (d) you agree not to attempt to log on to the website from any country under sanctions by the Office of Foreign Assets Control (OFAC). If you use the Platform, you represent and warrant that you are not on any of the above-referenced lists or otherwise located in, or subject to the control of, any such country on any of the foregoing lists.
Nalepa Labs may terminate your use of the Platform based on our reasonable suspicion that your activities, business or products are objectionable or promote, support or engage in any of the prohibited uses described above at our sole discretion. Nalepa Labs may (but has no obligation to) monitor the use of the Platform or Data and may edit or remove any Data. Nalepa Labs may disclose any information necessary to satisfy our legal obligations, protect Nalepa Labs or its customers, or operate the Platform properly.
Nalepa Labs may require payment of fees or a subscription charge for use of the Platform (or certain portions of the Platform) and you agree to pay such fees. If you registered for a trial, you may need to purchase the Platform before the trial ends to retain access to any content provided to, or created through, the Platform.
Payments will be billed in U.S. dollars, and your account will be charged upon purchase and when you provide your payment information, unless stated otherwise in applicable payment provisions. If your payment information is not accurate, current, and complete, we may suspend or terminate your account. If you do not notify us of updates to your payment information, we may participate in programs supported by your card provider to try to update your payment information, and you authorize us to continue billing your account with the updated information that we obtain.
You may be charged a subscription fee in advance on an annual basis or other recurring interval disclosed to you prior to your purchase. For annual subscriptions, we will send you a reminder with the then-current subscription fee no less than thirty (30) days and no more than sixty (60) days before your subscription term ends, or otherwise as required by applicable law. Nalepa Labs may change the price for recurring subscription fees from time to time with notice to you. Price changes will take effect at the start of the next subscription period following the date of the price change. If you do not agree with the price change, you may unsubscribe prior to the price change going into effect.
Your payment to Nalepa Labs will automatically renew at the end of the applicable subscription period but you can cancel a subscription at any time. Subscription cancellations will take effect the day after the last day of the current subscription period. If you cancel in the middle of a subscription period, you will be able to continue to access and use the applicable Service until the end of your subscription period. We do not provide refunds or credits for any cancellations or partial subscription period.
You may provide Nalepa Labs your feedback, suggestions, or ideas for the Platform. You grant Nalepa Labs a perpetual, worldwide, fully transferable, sub-licensable, irrevocable, fully paid-up, royalty free license to use your feedback, suggestions, and ideas in any way, including in future modifications of the Platform, other products or services, advertising or marketing materials.
We may offer specific functionality in the Platform that provides you with the opportunity to seek professional advice, for example, the ability to speak with a tax expert. Unless specifically disclosed, Nalepa Labs is not in the business of providing legal, financial, accounting, tax, health care, insurance, real estate or other professional service or advice, and you should consult with professionals for advice prior to making important decisions in these areas.
The Platform may also include information about or offers for third-party services or products or allow you to connect your account to or otherwise access third-party services or products. Nalepa Labs does not warrant, and is not responsible for, such third party services and products or claims made about them, or the actions or inactions of any third party. You must review and comply with any additional provisions and conditions provided separately to you for your use of the Platform, which may include terms and conditions from third parties ("Additional Terms"). Nalepa Labs may be compensated by those third parties, which could impact whether, how and where the services and products are displayed.
You understand and acknowledge that Nalepa Labs provides links to third-party websites. You agree that Nalepa Labs is not responsible for any content related to such links or sites, including any products, services, privacy policies or other materials accessed through such third-party links or websites. The display of any website link does not imply endorsement by Nalepa Labs of the linked site or any content found on such site.
IN NO EVENT SHALL NALEPA LABS BE LIABLE, DIRECTLY OR INDIRECTLY, TO YOU OR TO ANY PARTY FOR ANY DAMAGE OR LOSS ARISING FROM, OR RELATING TO, ANY USE, CONTINUED USE OR RELIANCE ON ANY LINKED THIRD-PARTY SITE OR ANY OTHER LINK FOUND ON SUCH LINKED SITE.
Mention of third-party products or services, companies and websites on the Platform is for informational purposes only and neither constitutes an endorsement nor a recommendation. Nalepa Labs assumes no responsibility and disclaims any and all liability regarding the selection, performance or use of these products, services, or vendors. Nalepa Labs provides this only as a convenience to our users. Nalepa Labs has not tested any software found on these sites and makes no representations regarding the quality, safety, or suitability of any software found there. There are dangers inherent in the use of any software found on the Internet, and Nalepa Labs assumes no responsibility with regard to the performance or use of these products. Make sure that you completely understand the risks before retrieving any software on the Internet.
By using any applicable online banking or account linking service or any similarly applicable service throughout the Platform, you authorize Nalepa Labs and its agents to access third party sites designated by you or on your behalf, to retrieve information requested by you, and you appoint Nalepa Labs and its agents as your agent for this limited purpose. Each time you enter your account login information, you are permitting Nalepa Labs and its agents to process your request and use information submitted by you to accomplish the foregoing.
You understand that, at any time and without notice to you, and for any reason whatsoever, Nalepa Labs may modify or discontinue all or any part of the Platform. You acknowledge that Nalepa Labs shall in no way be held liable for any consequence resulting from Nalepa Labs's decision to modify or discontinue providing all or any part of the Platform.
E-mail transmissions are not secure. Nalepa Labs directs that you do not electronically transmit or otherwise send sensitive information, such as account numbers, passwords, financial information to Nalepa Labs or otherwise request such information via e-mail. Please contact Nalepa Labs immediately by phone or in person for such information.
The Platform will not, and does not intend to, market any Nalepa Labs Products or related services to children. Nalepa Labs does not knowingly gather or solicit data from children through the Platform, and by using the Platform you represent that you are an adult who is at least 18 years of age.
NALEPA LABS DOES NOT PROMISE THAT THE PLATFORM OR ANY CONTENT, SERVICE, PRODUCT, OR FEATURE OF THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE PLATFORM WILL PROVIDE SPECIFIC RESULTS. NALEPA LABS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, QUALITY, ADEQUACY OR CONTENT OF ANY INFORMATION OR NALEPA LABS PRODUCT ON THE PLATFORM OR ANY OTHER WEBPAGE OR WEBSITE LINKED OR REFERENCED ON THE PLATFORM, NOR DOES NALEPA LABS MAKE ANY REPRESENTATION OR WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM OR ANY OTHER WEBPAGE OR WEBSITE LINKED OR REFERENCED ON THE PLATFORM. THE PLATFORM AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE PLATFORM IS SUBJECT TO CHANGE WITHOUT NOTICE. NALEPA LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT. YOUR SOLE REMEDY AGAINST NALEPA LABS FOR DISSATISFACTION WITH THE PLATFORM OR ANY CONTENT IS TO STOP USING THE PLATFORM OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS AN ESSENTIAL PART OF THE BARGAIN BETWEEN THE PARTIES.
The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action. Nalepa Labs reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Platform, or any portion of the Platform, for any reason; (2) to modify or change the Platform, or any portion of the Platform, and any applicable policies or terms; and (3) to interrupt the operation of the Platform, or any portion of the Platform, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
NALEPA LABS WILL NOT BE RESPONSIBLE OR LIABLE IN ANY WAY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, LOST REVENUES, LOST PROFITS OR PROSPECTIVE ECONOMIC ADVANTAGE, RESULTING FROM ANY USE OR MISUSE OF THE PLATFORM OR ANY OTHER WEBPAGE OR WEBSITE LINKED OR REFERENCED ON THE PLATFORM, OR RELIANCE ON THE INFORMATION, DOCUMENTS, SOFTWARE OR CONTENT HEREOF OR THEREOF, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH ARE REASONABLY FORESEEABLE.
You agree to indemnify and hold Nalepa Labs, its subsidiaries, affiliates, officers, agents, and representatives, and its and their officers and employees, harmless from and against any and all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses (including reasonable attorneys' fees, disbursements, and court costs) arising from or in connection with your use of the Platform, your violation of these Terms of Service, or your violation of any rights of any third party.
These Terms of Service are effective until your subscription expires or you cancel your account or Nalepa Labs terminates these Terms of Service (or your account). Nalepa Labs may terminate these Terms of Service (and your account) or suspend the Platform at any time at our sole discretion. Upon expiration of your subscription or cancellation of your account, or Nalepa Labs's termination of your account or these Terms of Service, you must immediately stop using the Platform and pay all fees for the Platform used. No expiration or termination will affect your obligation to pay all fees due or that may have accrued through the effective date of expiration or termination or entitle you to any refund. All provisions regarding Data, payment, indemnification, warranty, liability, and limits thereon, confidentiality or protections of proprietary rights, and any other term which by their nature are intended to survive termination or expiration of the Terms of Service shall survive the termination of these Terms of Service.
The laws of the State Florida will govern these Terms of Service, without giving effect to any conflicts of laws principles. You agree that any action arising out of the Platform, Terms of Service, or any Additional Terms, shall be brought in state or federal court in Florida, and you consent to the jurisdiction of such courts.
We respect the intellectual property rights of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the following information to Nalepa Labs as specified below:
You may send any notices, including notices of copyright infringement under the Digital Millennium Copyright Act, to us at Nalepa Labs LLC, 8198 S Jog Rd Suite 104, Boynton Beach, FL 33472.
Please note that this procedure is exclusively for notifying us that your copyrighted material may have been infringed. All intellectual property infringement claims shall be made under penalty of perjury.
THIS POLICY IS INTENDED TO COMPLY FULLY WITH THE REQUIREMENTS OF THE ONLINE COPYRIGHT INFRINGEMENT LIABILITY LIMITATION ACT.
You may not assign or otherwise transfer these Terms of Service or any rights or obligations under these Terms. Nalepa Labs's failure to act on any breach of any provision of these Terms shall not be construed as a waiver of the enforcement of any provision unless Nalepa Labs agrees to such waiver in writing.
If any part of these Terms of Service is deemed unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity or enforceability of remaining provisions. These Terms of Service set forth the entire understanding between you and Nalepa Labs with respect to the subject matter hereof and supersede any prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and Nalepa Labs with respect to such subject matter.
These Terms of Service are effective as of April 27, 2026. Nalepa Labs reserves the right to change these Terms of Service from time to time. Your continued use of the Platform after such modifications will constitute your: (a) acknowledgment of the modified Terms of Service; and (b) your agreement to abide and be bound by such modified Terms of Service.

Nalepa Labs LLC ("we," "us," or "Open Mind Ledger") makes available to authorized team administrators a read-only, authenticated data-export application programming interface (the "Data Export API"). The Data Export API is provided solely as a neutral data feed reflecting your team's own financial data as derived from your connected QuickBooks Online account and the deterministic rule-based alerts generated by the Service. The Data Export API is intended for your internal business use, including without limitation spreadsheet imports, internal reporting, audit workflows, and integration with general-purpose business tools you select.
You are solely responsible for any third-party software, service, or tool that you choose to connect to, integrate with, or use in conjunction with the Data Export API or any data obtained therefrom. We do not endorse, recommend, certify, or support any specific third-party tool or category of third-party tool for use with the Data Export API.
We make no representation or warranty, express or implied, regarding the suitability, accuracy, or fitness of the data accessible through the Data Export API for any specific downstream use. All such uses are undertaken by you at your sole risk and discretion.
You are responsible for ensuring that your use of any third-party tool in conjunction with the Data Export API complies with the terms of service, acceptable use policies, and applicable laws governing that third-party tool. We are not a party to your relationship with any such third-party provider.
The Multi-Entity Consolidation feature ("Consolidation") allows a designated host team administrator ("Host Admin") to create a Consolidation Group that aggregates financial data from one or more additional Open Mind Ledger teams ("Entity Teams"). The Host Admin must hold an administrator Membership on the host team and an administrator Membership on each Entity Team added to the group.
By adding an Entity Team to a Consolidation Group, the Host Admin represents that they have authority to authorize the inclusion of that Entity Team's financial data in consolidated reports. We do not independently verify the authority of the Host Admin over Entity Teams. The Host Admin is solely responsible for obtaining any consents or authorizations required from Entity Team members, accountants, or clients before creating or sharing consolidated reports.
Consolidation reads from internal data tables already derived from your Entity Teams' connected QuickBooks Online accounts. No additional QuickBooks Online API calls are made at consolidation run time. Consolidated results are stored in your host team's account only.
The Consolidation elimination engine is deterministic and rule-based. It applies user-configured elimination rules to produce elimination journal drafts based on matching intercompany balances by amount and date proximity. No elimination entry is auto-posted without explicit user review and confirmation. Consolidated balances are recalculated only when a user-initiated consolidation run is performed or a period is locked. We make no representations regarding the accounting accuracy, completeness, or auditability of consolidated output for any regulatory, tax, or external reporting purpose without independent professional review.
Mapping Entity Team accounts to the Consolidation Group chart of accounts is a manual, user-confirmed action. String-match hints may be surfaced as labelled data to assist the user; no mapping is applied or stored without explicit user confirmation.
Consolidation maintains an append-only audit log of material actions including period locks, elimination postings, mapping changes, and entity additions and removals. This log is available to Host Admins and is retained for the duration of the host team's active subscription.
Multi-Entity Consolidation V1 supports USD-denominated financial data only. We do not perform currency translation or multi-currency consolidation in V1. Consolidating teams whose QuickBooks companies record transactions in non-USD currencies will produce consolidated output that combines currency-denominated values without conversion — this is the user's responsibility to manage.
Consolidated output produced by the Service is not a substitute for a professionally prepared consolidated financial statement. You are responsible for any adjustments, disclosures, or certifications required for external, regulatory, tax, or investor-facing use of consolidated data.
